These Terms and Conditions apply to all business, trade, and contract customers (“Buyer”, “you”) purchasing goods from Prime Contract Beds (“Seller”, “we”, “us”). By placing an order, you confirm that you are acting in the course of business.

1. Scope of Agreement

  • These Terms apply to all B2B and contract orders, including bulk and made-to-order products.

  • Consumer protection regulations do not apply to business purchases.

  • Any variations must be agreed in writing by Prime Contract Beds.

2. Orders and Specifications

  • All orders are subject to acceptance and availability.

  • Product specifications, quantities, sizes, fabrics, and finishes must be confirmed at the time of order.

  • Changes after order confirmation may not be possible and may incur additional costs.

3. Made-to-Order and Contract Products

  • Most B2B products are made to order and manufactured specifically to the Buyer’s requirements.

  • Once production has commenced, orders cannot be cancelled or amended.

  • Any agreed cancellations may be subject to manufacturing and administration charges.

4. Pricing and Payment

  • All prices are quoted in GBP (£) and exclude VAT unless stated otherwise.

  • Full payment is required prior to production unless a written credit agreement is in place.

  • Late payments may be subject to interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Delivery

  • Delivery times are estimates and not guaranteed.

  • Free UK delivery may be offered unless otherwise agreed in writing.

  • The Buyer is responsible for ensuring safe and suitable access for delivery.

  • Failed or aborted deliveries due to access issues may incur additional charges.

6. Risk and Title

  • Risk in the goods passes to the Buyer upon delivery.

  • Title to the goods remains with Prime Contract Beds until full payment has been received.

7. Inspection and Acceptance

  • The Buyer must inspect goods immediately upon delivery.

  • Any shortages, damage, or defects must be reported within 48 hours of delivery.

  • Claims made after this period may not be accepted.

8. Returns and Cancellations

  • Returns are not accepted unless agreed in writing.

  • Any approved returns must be unused, in original packaging, and in resaleable condition.

  • Mattresses are non-returnable once opened.

  • Collection or return costs will be borne by the Buyer unless otherwise agreed.

9. Warranty

  • All products are supplied with a 1-year manufacturing warranty.

  • The warranty covers manufacturing defects only.

  • It excludes:

    • Fair wear and tear

    • Commercial or heavy usage

    • Incorrect installation or handling

    • Accidental or deliberate damage

  • The Seller may repair or replace defective goods at its discretion.

10. Liability

  • The Seller’s liability is limited to the value of the goods supplied.

  • The Seller is not liable for:

    • Loss of profits

    • Business interruption

    • Loss of contracts or reputation

  • Nothing in these Terms limits liability for death or personal injury caused by negligence.

11. Force Majeure

Prime Contract Beds shall not be liable for delays or failures caused by events beyond reasonable control, including supplier delays, labour disputes, transport disruption, or acts of God.

12. Intellectual Property

All product designs, images, and website content remain the intellectual property of Prime Contract Beds and may not be reproduced without permission.

13. Data Protection

All personal and business data is processed in accordance with our Privacy Policy and UK GDPR.

14. Governing Law

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the UK courts.
